What about Beneficial Ownership Information (BOI) reporting under the Corporate Transparency Act?
As of the March 2025 FinCEN interim final rule, US domestic entities — including most US-formed SPVs, funds, and portfolio companies — are exempt from BOI reporting. Foreign reporting companies registered to do business in the US still file (for non-US beneficial owners only). SingleFile handles BOI for foreign-formed entities and maintains historical CTA records if regulations shift again.
